In Politics:
Mr Ngculu has been a Member of Parliament from 1998 to 2009 and served in the following Parliamentary Committees: Trade and Industry; Defence and in Health as the Chairperson of the Committee. Member of the ANC. He went into exile in 1976 and returned to South Africa in 1990 and served in various capacities for the ANC to date including being an advisor at CODESA on the Transitional Arrangements Work Group.
He acquired Post Graduate Diploma in Economic Principles from University of London and Certificate in Management Development from the University of Cape Town, Graduate School of Business. He also got a Diploma in Defence Management from the University of Witwatersrand Programme Development and Management [PDM].
Mr Ngculu acted as the Provincial Secretary of the ANC in Western Cape from 1994 – 1998 and the Provincial Chairperson of the African National Congress in the Western Cape Province from 2005 - 2008. He spent many years in exile in many countries in Africa and Europe serving under the aegis of the ANC (African National Congress). He assisted the University of Witwatersrand as visiting lecturer of Civil-Military Relations for SADC officers and assisted also on Security Sector Reforms in Uganda, Ghana, and Nigeria.
In Writing:
Mr Ngculu co-authored a book, “Ourselves to Know” edited by Dr Rocklyn Williams and Diane Philander (Southern African defence and security experts) as a collaboration on Security Sector Reforms. The book was published by Institute for Security Studies. He also published another book by New Africa Books entitled “The Honour to Serve” which won him a nomination as finalist for the Alan Paton Award in 2010.
In Business:
Mr Ngculu was a Director in an investment Group of Companies, founder member of Wesizwe Platinum Limited and Director of Great Karoo Metals.
He is cofounder of the Basileus Group of companies with Julian Williams. The Basileus Group specialises in Private Equity transactions and corporate advisory work. He is currently Chairman of Basileus Holdings.

Qualifications:
Julian Williams graduated with a Masters in Commerce from the University of Cape Town. He successfully completed his board examination and following the completion of his training contract with PriceWaterhouseCoopers Inc, he obtained his CA (SA) professional membership from the South African Institute of Chartered Accountants.
In Business:
In 2001 he was responsible for launching Penryth (Proprietary) Limited, a specialist securities lending business in South Africa. This led him to move across and establish an investment Group of companies which comprised: a Financial Services Board registered investment manager; and a private equity company and related companies.
While running the Group Mr. Williams founded Wesizwe Platinum Limited, a Platinum explorer and mine developer. Mr. Williams engineered the listing of Wesizwe on the Johannesburg Stock Exchange in December 2005. Mr Williams has served on the Wesizwe Platinum Board for 6 years.
Mr Williams is also the Chairman of Avalloy, South Africa's only superalloy producer. Mr Williams engineered the purchase of the Avalloy plant from African Rainbow Minerals Ltd in 2006 and oversaw Rolls Royce taking a 15% stake in the company along with its acceptance by the market and consequent growth.
Mr. Williams is a co-founder of the Basileus Group of companies with James Ngculu. The Basileus Group specialises in Private Equity transactions and corporate advisory work.

Qualified as a CA(SA) in 1993, a first time board attempt after serving Articles with Ernst & Young. On moving to Cape Town spent two years at Truworths internal audit and in financial project management. Consulting and business advisory experience was obtained at Deloitte & Touche Managment Consulting on clients such as Old Mutual, De Beers Marine and the Two Oceans Aquarium and also as a senior manager at Ernst & Young Entrepreneurial Growth Services Division. This included clients such as Pam Golding Properties, Vital Health Foods and a number of wine farms.
Lee went on to gain further entrepreneurial commercial experience at companies such as Pyrotechnical Marketing ( label printing and manufacturing), LeisureNet Limited (health, leisure and entertainment), Interchange (Europe Interchange BV) ( operation of foreign exchange bureaux and western union outlets in Europe) and SAMD ( importers and distributers of petrol pumps to the major oil companies).
Lee was, until joining Basileus Capital (Pty) Ltd, the Chief Financial Officer for a Cape Based Investment Group, specializing in hedge fund management and venture capital.

An accountant by training Mike is a Certified Compliance Professional of the Compliance Institute of South Africa, and has joined Basileus Capital from a Cape Based Investment Group of companies where he held various managerial positions over the past five years culminating in him taking over the position of Group Compliance Officer.
Mike is currently reading for an M. Phil. in Commercial Law at the University of Cape Town and heads up the Legal and Compliance Department for Basileus

| Head Project Management: Michael Edwards |

Mike started his working career as a fighter pilot in the South African Air Force. After a number of years as a pilot he completed his B Eng (Electronics) degree at the University of Pretoria and worked within the air force projects environment as both systems engineer and Project Officer (programme manager) while continuing to fly on a part-time basis. Mike has completed a number of engineering and management courses within the air force and is registered as a Professional Engineer with the Engineering Council of South Africa.
Before moving across to Basileus Capital, he was intimately involved in the Advanced Light Fighter Aircraft replacement programme within the SAAF, both as pilot engineer and Project Officer, from the requirements definition phase through to delivery and implementation of the Gripen Fighter aircraft at Level 6.
Mike is responsible for managing and co-ordinating the management of the implementation of the various projects (fledgling companies) launched by Basileus.

Mr. Symons completed a Bachelor of Business Science (Honours) degree at UCT and thereafter obtained his CA (SA) designation.
Post articles, he worked with Deloitte & Touche in Munich, and then joined Deutsche Bank in London for 3 years. Thereafter Mr. Symons joined a Cape Based Investment Group for 4 years, and was involved in all the major transactions.
His function at Basileus is to identify, negotiate and structure investments.

| Associate Director: William (Bill) Whittaker |

Following a degree in nuclear physics, Mr. Whittaker comes from a background in science, engineering and IT and has worked on projects as diverse as writing medical imaging software, designing databases for online newspaper and share trading systems, designing a traffic light control system, and more recently being part of a team designing one of the world's largest optical telescopes, SALT, based in Sutherland in South Africa.
A double scholarship enabled him to study an MBA at Warwick Business School in the UK and as part of this he worked at Société Générale in London helping to test and develop a model which can be used for capital structure arbitrage. Following a two year stint as a hedge fund portfolio manager with a Cape Based Investment Group, Mr. Whittaker joined a Cape Based Investment Group, he has been responsible for implementing various transactions and was primarily responsible for the $50 million sale of Uranium assets in the Beaufort West area to a foreign concern. After finishing his responsibilities within the Cape Based Investment Group he moved across to Basileus and was responsible for implementing a number of projects which included the purchase of Cash Connect, and a restructuring of Avalloy.
On his promotion to Associate Director, Mr. Whittaker has been responsible for driving Mobu Minerals, and a new project looking to provide high speed wireless broadband provision throughout South Africa, Kawuleza Connect.

| Associate Director: Andrew Ian Ross-Innes |

Andrew obtained both a degree in engineering from the University of Cape Town which he completed in 1998, and a BCom. After his engineering degree he worked for a Finnish mining company as well as an IT startup business. He returned to the University of Cape Town where he completed the accountants conversion course in 2001 (a BCom in one year) and later his articles with BDO in Cape Town. After 6 months working in Los Angeles and 6 months traveling, he began working for a Cape Based Investment Group and later Basileus.
At Basileus he was integrally involved with the establishment of Pure Ocean Aquaculture and Burgan Oil Services both of which he acted as the associate. As associate director he is responsible for driving a number of new projects both locally and internationally.

| Associate: Kelvin Reader |

Kelvin completed his B.Acc degree at the University of Stellenbosch and then went on to complete his PGDA at the University of Cape Town. He completed his articles in the financial services division of PricewaterhouseCoopers and qualified as a Chartered Accountant. After articles he spent time in London working for Richemont's Venture Capital company.
Kelvin's primary focus is to support Mr. Williams and Mr. Symons on implementing transactions that Basileus Capital has entered into.

Keith completed his Business Science degree and PGDA at the University of Cape Town. He completed his articles at Ernst & Young and qualified as a Chartered Accountant. He has also completed CFA level I. Keith later joined Basileus after working in New York for Ernst & Young and travelling around South America.

Stephan holds a German Master degree in Electrical Engineering from the Technical University of Berlin and a Master of Business Administration (MBA) from the Graduate School of Business at the University of Cape Town and Chicago. He is currently finishing his Master of Computer Science from the University of Hagen.
Stephan worked in various different research and development areas, such as photonic communication, telematic services and radio communication in the military defence, telecommunication and automotive industries.
Stephan focuses on applying his diverse industry insights and technical skills in researching and analysing markets and trends.

Hitesh completed his B.Sc (Actuarial Science and Statistics) at the University of Cape Town and has qualified as an Actuary, having specialised in Finance and Investments. Coming off the Old Mutual Actuarial bursary program, he spent two years in the Pensions Consulting Area, before moving into the Risk Product Development Team.

Nuno graduated from the University of Stellenbosch with a BComm(Financial Accounting) in 2003. He then went to the University of Cape Town where he obtained a Post Graduate Diploma in Management in 2005 as well as a Post Graduate Diploma in Accounting in 2006 .
He completed his articles at Ernst and Young and qualified as a Chartered Accountant. He remained in external audit as a manager at Ernst and Young until July 2009.
Nuno joined Basileus in August 2009 and his primary focus is to support the directors with creating business opportunities and to assist Burgan Oil Services.

Warren is a qualified Chartered Account (SA) and CFA Charterholder. He completed his Bachelor of Business Science (Honours) and Bachelor of Commerce (Honours) degrees at UCT and thereafter served his articles with Ernst & Young. Following articles, Warren lived and worked in London for six years where he worked as a consultant and specialized in transaction advisory services with Grant Thornton UK LLP.
His particular areas of expertise include corporate financial due diligence and reporting accountant assignments for AIM listings.
Warren joined Basileus in January 2010.

He then went on to work at Mazars Moores Rowland Corporate Finance where he was put in charge of the company's quantitative work including company valuations, options valuations, financial modeling and cash flow forecasts.
He was also involved in due diligences, mergers & acquisitions and B-BBEE consulting. During this time he completed his MCom in Financial Management at UCT.

Ngange is both a qualified Chartered Alternative Investment Analyst (CAIA) and a Chartered Accountant (SA). He completed his undergraduate degree, and PGDA at the University of Cape Town. He completed his articles at Deloitte, after which he joined Basileus Capital.
Ngange's primary function is to provide support to the Directors and Associate Directors on the implementation of transactions consummated by Basileus Capital.

After growing up in Zimbabwe, Nicholas graduated from the University of Cape Town in 2006 with a B.Sc. in Mechanical Engineering. He then gained his Masters Degree in Aerospace Engineering from the University of Sydney, Australia, in 2007.
Returning to Cape Town, he undertook some research at the Sasol Advanced Fuels Lab in the field of synthetic aviation fuel, before briefly doing some conceptual design work on a couple of innovative projects at Thunder City.
Nicholas joined Basileus in April 2010, and his primary function is to provide support to the Directors and Associate Directors on the implementation of transactions consummated by Basileus Capital.

Jethro studied Actuarial Science and Finance at the University of Cape Town and qualified as an Actuary within 18 months of starting work. He started his career at a large life reinsurance company in Cape Town. There he was involved in stochastic modelling and research into life and health opportunities in South Africa. Jethro then worked in Mumbai as a Chief Manager - Product Development with a joint venture insurer, where he developed and marketed insurance products suitable for the fast-growing Indian market.
Following his time in India, Jethro was in Amsterdam working as a Consulting Actuary for a Global Actuarial Consulting Firm on assignments across Europe, Russia and Asia. Prior to joining Basileus, Jethro spent some time travelling in Europe, North America and Africa, which included competing in the world's longest cycling race – from Cairo to Cape Town in four months.
Jethro is an Associate at Basileus Capital and is responsible for originating, designing and being operationally involved in new business ventures.

Prior to joining Basileus in October 2010, Lwazi worked as a transaction analyst for Old Mutual Specialised Finance. Lwazi graduated from the University of the Witwatersrand with a B.Acc degree and is a registered Chartered Accountant, having completed his articles at Ernst & Young, Johannesburg.
Lwazi is currently enrolled as a second year student in the University of Cape Town's MCom (Financial Management) programme.

Enrico completed both his B.Comm and LLB degree at the University of Cape Town. After completing articles and being admitted as an Attorney he entered into the private sector, choosing to focus on entrepreneurial enterprises.
Enrico's primary focus is on the property sector, creating new developments as well as targeting existing developments for investment purposes.

Andrea completed her Business Science degree and PGDA at the University of Cape Town. She completed her articles at Ernst & Young and qualified as a Chartered Accountant in 2009.
Andrea is part of the finance implementation team at Basileus and her responsibilities include the management and implementation of structures and procedures at projects, particularly relating to the operational side of the projects. She also assists with disclosure and accounting issues related to the group companies. |
| Senior Project Manager: Pieter Visser |

Pieter graduated from the University of Stellenbosch with a BComm in 1995. He then went on to obtain a Certificate in Advance Taxation through UNISA. While in Dublin, Ireland he started studying for CIMA (Chartered Institute of Management Accountants) and became an Associated Member (ACMA) in June 2005.
Pieter worked at Pioneer Foods (Accountant-HR(funds and share scheme) and at a Cape Based Investment Group in South Africa before moving to the Basileus Group. Pieter also worked on two separate occasions in Ireland at Telecom co. Global Crossing (Corporate Finance) and GE Money (Corporate finance-Controllership team).
Pieter is part of the Project Manager Team at Basileus and his responsibilities include the management and implementation of structures and procedures of projects, particularly relating to the operational side of the projects. He is also involved with the monitoring and evaluation of future projects as well as current investments.

Lise’s primary focus is to support the finance team and use her skill set in interpreting relevant data and compiling reports to accurately represent the information needed. She is also involved in a number of Basileus projects where her responsibilities will include the management and implementation of structures and procedures to facilitate efficient running of the projects.

After articles he spent time in London working for Man Investments (dealing with alternative investment asset management), and subsequent to that, in East London, working for Dimension Data as project manager.
Brian’s primary focus is to support the associates and use his skill set in interpreting relevant data and compiling reports to accurately represent the information needed. Other responsibilities include the management and implementation of structures and procedures at projects.

Hendrik graduated from the University of Stellenbosch with a Masters Degree in Engineering Management.
He is busy pursuing his interest in finance with a MCom (Financial Management) at the University of Cape Town focusing on the aspects of Asset Valuations.
Hendrik joined Basileus in February 2010 and focuses primarily on supporting the associates and using his skill set and experience to compile research reports on relevant market and industry trends.

Kay holds a Master degree in Law (LL.M.) from the University of Cape Town and a Master of Business Administration (MBA) from the Graduate School of Business at the University of Cape Town and the Rotterdam School of Management at the Erasmus University of Rotterdam. He graduated from the University of Berlin in 1998 with a German law degree and worked as a corporate lawyer in Berlin until 2006.
Before joining Basileus in February 2010 Kay started up his own business in 2007 - Friends of Design – Academy of Digital Arts - which is now Cape Town’s leading digital design school. The academy is certified as training centre by the industry leaders Adobe and Apple as well as it is accredited with the Department of Education of South Africa.
Kay focuses on applying his diverse industry insights and analytical skills in researching and analysing markets and trends.

D'Niel graduated from the University of Stellenbosch with a B.Eng (Industrial) degree. He then got involved in entrepreneurial ventures in the transport and agricultural industries. After doing his MBA, he became a business consultant at Analista Modelling systems while lecturing part-time at the Engineering faculty of the University of Pretoria.
D'Niel joined Basileus in July 2010 and focuses primarily on supporting associates and associate directors by compiling research reports and investigating business opportunities related to current negotiations.

Euan holds a Master of Art in Applied Economics from the University of St Andrews in Scotland. Post graduation he served as an Officer in the British Army including a tour in Southern Iraq in 2004. He qualified as a Chartered Accountant in 2007 and then spent two years in Moore Stephen’s Corporate Finance Department in Moscow. During his time in Russia he conducted financial due diligence and worked on listings, company valuations, financial modelling and cash flow forecasts mainly in the natural resources, transport and IT sectors.
Prior to joining Basileus in April 2011, Euan set up and managed an office for an NGO in Eastern Afghanistan. Euan is an Analyst at Basileus and is responsible for researching a range of industries and identifying business opportunities.

JA qualified chartered accountant by profession, Naledi hails from Durban, KwaZulu-Natal and joined Basileus Capital in February 2011 from Cliffe Dekker Hofmeyr Inc, where he served as the Financial Manager in Johannesburg.
He completed both his undergraduate and postgraduate degrees, BCompt and BCompt(Hons) respectively, in accounting through correspondence with the University of South Africa (UNISA). Naledi completed his articles in Cape Town, with one of the leading global professional services firms, PricewaterhouseCoopers, where he was primarily involved with entities in the retail and manufacturing industry.
Naledi focuses primarily on supporting associates and associates directors by compiling research reports and investigating business opportunities.

Denzil joined Basileus in October 2011 and focuses primarily on supporting associates and researching a range of industries and identifying business opportunities.
Prior to joining Basileus, Denzil worked as a business analyst at Allan Gray in the Strategic Initiatives team with a focus on operational systems improvement. Denzil graduated at the university of Stellenbosch with a Masters of Science in Industrial Engineering and also completed CFA Level I.

Ridhaa graduated from the University of Cape Town with a BSc. Eng (Mechatronics) degree. Following his graduation he entered the South African Energy industry working principally as a design and project engineer and later as a nuclear commissioning engineer. After completing his MBA at the UCT GSB, Ridhaa spent some time as a business consultant taking on projects that included performance management optimization and new business analysis.
Ridhaa joined Basileus in November 2011 and focuses primarily on supporting the associates and using his skill set and experience to compile research reports on relevant market and industry trends.

Studied towards a 3yr Business Management Diploma from the University of Technologies( previously known as Peninsula Technikon), where she was awarded with distinction (Cum Laude) as the top Business Management Student.
Gained exposure to all aspects of managing a business ranging from Finance & Accounting, Production/Project Management , Personell / Human Resources, Business /Mercantile Law etc, also
Focusing on the core Business Aspects(POLC), Strategic Planning, Organising , Leading & Controlling .
Amongst other courses included Accounting, Audit & Tax.
While studying as part of practical training, she worked for Southern Life Ltd ( Financial Services) in there Corporate Finance department. After graduating worked for Pie City Investments(Pty)Ltd as Junior Accountant for all group companies-( retailing & manufacturing) for almost 5 yrs and left there employment due to lack of growth potential.
In March 2003, joined a Cape Based Investment Group (specialising in hedge funds and private equity) as Accountant and in Feb 2005 was promoted to Financial Manager. Left their employment in May 2008 after a successful 5 year term.
In June 2008 joined Basileus Capital (Pty)Ltd as Financial Manager with the view to become Project Manager.
Besides business on a social note: Active Participant /voluntary member of the MKC Foundation (Foundation serving Humanity of all Races , colour & creed), but it's main focus is focused on the underprivileged , by empowering individuals mentally , emotionally etc as well as empowering or assisting individuals with career planning, motivational training, business code & ethics, business skills etc and simultaneously involving in social projects in upliftment of previously disadvantaged communities.

Daphne joined the Basileus Group in February 2009 to manage the in-house company secretarial division. She is responsible for all company formations, secretarial changes and related matters. She also provides support to Mike Arnot on Corporate Governance and Compliance.

Farzaana completed a National Diploma in Cost and Management Accounting at the Cape Peninsula University of Technology (previously known as Cape Technikon). During which completed her 6 months in-service training with a Cape Based Investment Group and upon graduation joined the Investment Group as an Accountant in Feb of 2005 up to April 2008.
In May 2008 she joined the Basileus Group as an Accountant, responsible for performing the accounting function of the various companies within the Basileus Group.

Jarno joined Basileus in 2009. He completed his B.Comm and LLB degrees at Stellenbosch University, with an interest in the corporate and commercial side of Law. He is currently enrolled for a Masters degree in Business Administration at the University of Cape Town’s Business School.
Jarno is positioned in the Legal and Compliance department of Basileus and endeavours in assisting Department Head, Mike Arnot upholding the structural integrity of the Basileus Group as well as managing project related Legal and Compliance matters.
